Following are the terms of use for approved companies participating in the AORN Seal of Recognition program. These terms should be provided to Company representatives, creative staff or agency, and other involved individuals to ensure the AORN Seal of Recognition program is implemented in accordance with the program rules. All payments to AORN must be current.
Recognition Period
The AORN Seal of Recognition is valid for two years from the date of approval provided in the Approval Notification letter. If materials awarded the Seal of Recognition are updated or altered in any way during the two-year recognition period, Company must resubmit the materials for approval at then-current pricing, or remove the Seal of Recognition logo from the materials.
Revoking or Suspending the AORN Seal of Recognition
AORN will periodically audit AORN Seal of Recognition logo usage in Company’s materials. Upon request at any time during Company’s two-year approval period, Company will provide to AORN all requested marketing and collateral related to the materials submitted for review. If logo use is inappropriate in AORN’s sole discretion, AORN will provide a written correction notice allowing 10 days for required corrections to be submitted to AORN for its review. Failure to meet correction notice requirements will result in immediate termination of Company’s approvals and Company must immediately remove the AORN Seal of Recognition and any related claims from all Company materials and collateral. No refunds will be provided.
AORN Seal of Recognition Logo Usage
Permission to use the AORN Seal of Recognition logo is provided only with an Approval Notification letter. The logo must only be used in accordance with the following requirements:
- Logo may only be used on the specific materials submitted for approval, reviewed by AORN, and awarded the Seal of Recognition by AORN.
- The AORN Seal of Recognition logo cannot be placed in a way that it implies endorsement, certification, or sponsorship of Company or a particular product or service.
- The AORN Seal of Recognition logo cannot be applied to products or product packaging.
- Company may not alter the AORN Seal of Recognition logo in any manner; the logo must be applied in all cases without modification as it is provided by AORN.
- Wherever the AORN Seal of Recognition logo is used, it must be accompanied by the title of the approved materials.
- The AORN Seal of Recognition logo must appear with reasonable spacing and sizing between it and other graphic and textual elements. There must be adequate space between the AORN Seal of Recognition logo and any other trademarks, seals, indicia, corporate logos, statements, quotes, or other branded elements or marks.
- Company must include the following disclaimer language in reasonable proximity to the Seal of Recognition logo placement:
The AORN Seal of Recognition has been award to <Title of Training or In-Service Program> on <Approval Date> and does not imply that AORN approves or endorses any product or service mentioned in these materials. The AORN Seal of Recognition program does not include any CE credit for programs.
Company will receive a color and a black and white version of the logo. Modification is prohibited.
Graphics and Production Guidelines
- The .eps files can be inserted into print publications for high quality publications. They are vector art, and can be sized to any size while maintaining the quality of the image.
- The .tif files are also appropriate for print use and may have a better preview if using in a program like MS Word). The .tif files should not be enlarged more than 20% of provided size.
- The .gif files are for use on a webpage or electronic publication. Do not enlarge icons beyond 120 pixels.
Company References to Seal of Recognition Program
The disclaimer in bold above must be printed in reasonably proximity to the Seal of Recognition logo on all approved materials. When referencing the approved materials, Company’s may state, “Company’s [specific training/education materials] related to this product have been awarded the AORN Seal of Recognition.”
Company Acknowledgements
All rights to the AORN Seal of Recognition logo are the exclusive property of AORN, and all goodwill generated through the use of the AORN Seal of Recognition is intended specifically and only for the material reviewed by AORN. Logo use may only be in accordance with these Terms of Use.
AORN reserves the right in its sole discretion to update and modify the AORN Seal of Recognition logo and these Terms of Use, and to take appropriate action as necessary to protect its intellectual property and reputation, including suspending or revoking Company’s right to use the logo for failure to adhere to these Terms or Use or provisions in the AORN Seal of Recognition program description, Company’s Approval Notification letter, or any other requirements communicated by AORN to Company.
Company’s right to use the AORN Seal of Recognition is non-assignable. If Company experiences a change in control related to submitted materials, Company must notify AORN in writing and seek written permission to continue using the AORN Seal of Recognition.
AORN shall not be liable for Company or any other party for any loss of revenue or profit, or for indirect, incidental, special, consequential or similar damages, whether based in tort (including without limitation negligence or strict liability), contract, or other legal or equitable grounds, even if AORN has been advised or had reason to know of the possibility of such damages.
AORN specifically disclaims all express, statutory or implied warranties, including but not limited to those concerning merchantability or fitness for a particular purpose or non-infringement of any third-party rights.
Company hereby agrees to indemnity and hold harmless AORN, its affiliates, agents and employees from and against any and all claims or liability, including costs and attorneys’ fees, arising from or in connection with Company’s participation in the AORN Seal of Recognition program and/or its use of the AORN Seal of Recognition logo, including but not limited to products liability and negligence claims related to Company’s education, training and in-service materials, and also including any negligence claim brought against AORN relating to Company’s participation in the AORN Seal of Recognition program.
