AORN CineMed Video Library Terms and Conditions

“Video Library” shall mean the AORN CineMed online video library of perioperative nursing education videos, which includes instructional videos, accompanying study guides, and online post-tests with score tracking.

Annual Subscriptions

Subscription access to the Video Library shall be for the term set forth on the applicable Order Form.

Intellectual Property

AORN and CineMed own all right, title and interest in the Video Library including all patent rights, copyrights, trademark rights, and all other intellectual property rights. By accessing the Video Library, users agree to access the contents solely for personal or organizational educational purposes. Video Library content may not be printed, saved or modified for use outside of this sole purpose. Users may not download, print, or otherwise excerpt Video Library materials for the purpose of developing other training materials or competing products or services. Video Library content may not be reverse-engineered, disassembled, or removed. All copyrights and legal notices contained in the Video Library shall remain intact.

Fees and Payment

Payment shall be made in advance for each annual subscription term and is non-refundable. Failure to pay fees when due will result in disabled access to the Video Library.

Access Controls

Subscriptions to the Video Library are not transferrable. Users are solely responsible for ensuring that their user names, passwords, and access numbers are not shared with other individuals. Log in information may not be shared between users.

Limitation of Liability

UNDER NO CIRCUMSTANCES WILL CINE-MED, AORN, OR ANYONE ELSE INVOLVED IN ADMINISTERING, DISTRIBUTING OR PROVIDING THE VIDEO LIBARY, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES THAT RESULT FROM THE USE OF OR INABILITY TO USE THE VIDEO LIBRARY, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE OR LOST PROFITS, OR DAMAGES THAT RESULT FROM MISTAKES, OMISSIONS, INTERRUPTIONS, DELETION OF FILES OR EMAIL, ERRORS, DEFECTS, VIRUSES, DELAYS IN OPERATION OR TRANSMISSION, FAILURE OF PERFORMANCE, THEFT, DESTRUCTION OR UNAUTHORIZED ACCESS TO CINE-MED’S OR AORN’S RECORDS, PROGRAMS OR SERVICES, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN THE EVENT OF ANY BREACH BY CINE-MED OR AORN OF THIS AGREEMENT, CINE-MED’S AND AORN’S LIABILITY TO ANY USER WILL NOT EXCEED THE AMOUNT PAID TO CINE-MED OR AORN, AS APPLICABLE, BY USER DURING THE PREVIOUS ONE YEAR.

Content of Video Library

Video Library users acknowledge and agree that the Video Library is provided “as is” and take sole responsibility for verifying, relying on and utilizing any information, advice, educational materials or content contained therein (“Educational Content”). Cine-Med and AORN are not liable for any information contained in the Educational Content, and the user agrees to defend, indemnify and hold harmless Cine-Med and AORN against any claims, liability, costs or damages incurred by Cine-Med or AORN which arise from the user’s use and reliance on, or any of its employee’s or authorized end users’ use and reliance on the Educational Content, including any claims for personal injury, medical malpractice, or any other tort or civil cause of action. Cine-Med’s and AORN’s sole responsibility with respect to the Educational Content, is to ensure that such Educational Content is provided by qualified and licensed professionals, who have the requisite skills and knowledge (by way of licensing and/or academic credentials) to provide the Educational Content. The Customer agrees that it, and any of its users will not hold Cine-Med or AORN liable for any information contained in the Educational Content or their reliance on the Educational Content in the course of their work or practice.

Subtitles and Closed Captioning

AORN and CineMed may provide closed captioning and/or subtitles in certain educational videos in the Video Library.  Translation into languages other than English is intended to assist the non-English-reading public. AORN uses AI-powered automated captioning and translation programs to provide these enhancements. Some content may not be accurately captioned or translated due to both the limitations of the translation programs and the nuances in translating to a foreign language. AORN and CineMed make no promises, assurances, or guarantees as to the accuracy of the captioning or translations. Captioning, translations, and subtitles are not reviewed for accuracy by AORN.

TO THE FULLEST EXTENT PERMISSIBLE BY LAW, CINE-MED AND AORN DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. CINEMED AND AORN DO NOT WARRANT THAT THE VIDEO LIBRARY MADE AVAILABLE TO THE USER THROUGH A WEBSITE, CINE-MED’S OR AORN’S SERVERS, PHYSICAL TRANSMISSION OF ANY MATERIAL, OR ELECTRONIC COMMUNICATIONS SENT FROM CINE-MED OR AORN ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Entire Agreement; Amendments

These AORN CineMed Video Library Terms and Conditions and the Video Library Order Forms constitute the entire understanding between AORN, CineMed and the users with respect to the Video Library. AORN/CineMed may amend these Terms and Conditions at any time which will be binding upon all users. Any modifications or additions to these Terms and Conditions for individual purchasers must be agreed upon by AORN in writing.
